Public offer agreement

This is an English translation provided for convenience. In case of any discrepancy, the Ukrainian version shall prevail.

This public offer agreement governs the relationship between Lias Brand (hereinafter the “Seller”) and any individual or legal entity (hereinafter the “Buyer”) that places an order and purchases goods through the website https://www.lias-brand.com (hereinafter the “Website”). This document is the Seller’s official offer to conclude an agreement on the terms set out below.

1. General provisions

1.1. This agreement is a public offer in accordance with Article 641 of the Civil Code of Ukraine. Placing an order on the Website constitutes acceptance of this offer by the Buyer. 1.2. The Seller reserves the right to amend this agreement without prior notice to the Buyer. The updated agreement is published on the Website and takes effect from the moment of publication.

2. Subject of the agreement

2.1. The Seller undertakes to transfer the goods into the Buyer’s ownership, and the Buyer undertakes to accept and pay for them on the terms set out in this agreement. 2.2. The list, characteristics and prices of the goods are shown on the Website.

3. Placing an order

3.1. The Buyer places an order on the Website by adding the selected goods to the “Cart” and completing the order form. 3.2. After the order is placed, the Seller confirms it via means of communication (email, phone).

4. Price of the goods and payment terms

4.1. The price of each item is shown on the Website. The Seller has the right to change prices unilaterally. 4.2. The Buyer pays for the goods by bank transfer on the basis of an issued invoice or via the payment systems available on the Website. 4.3. The final cost of the order includes the price of the goods, the cost of delivery and any other possible expenses that the Buyer will be informed of when placing the order.

5. Delivery of the goods

5.1. The Seller delivers the goods by the methods indicated on the Website. 5.2. The delivery time depends on the chosen delivery method and the location. 5.3. The risk of accidental loss of or damage to the goods passes to the Buyer at the moment the goods are handed over to the carrier or to the Buyer.

6. Rights and obligations of the parties

6.1. The Seller undertakes to:

Provide the Buyer with the goods in accordance with the order.
Ensure the quality of the goods in accordance with the law and the terms of this agreement. 6.2. The Buyer undertakes to:
Accept and pay for the goods in accordance with the terms of this agreement.
Provide accurate information for placing the order.

7. Return of goods and refunds

7.1. The Buyer has the right to return the goods within 14 days of receipt, provided that their presentable condition, packaging and sales receipt are preserved. 7.2. Refunds are made within 14 days after the returned goods are received.

8. Liability of the parties

8.1. In the event of a breach of this agreement, the parties are liable in accordance with the current legislation of Ukraine. 8.2. The Seller is not liable for damage caused to the Buyer by improper use of the goods.

9. Confidentiality

9.1. The Seller undertakes to keep the Buyer’s personal data confidential in accordance with the Privacy Policy published on the Website.

10. Final provisions

10.1. This agreement remains in force until the parties have fully performed their obligations. 10.2. Any disputes arising from this agreement are resolved through negotiation or in court in accordance with the legislation of Ukraine.

This agreement is drawn up as of 15.09.2024 and takes effect from the moment of its acceptance by the Buyer.
